Terms of Service

These Terms of Service (“Terms”) govern services provided by High Plains Prep & Pack (“HPPP,” “we,” “us,” or “our”) to any person or business that requests or uses our services (“Client,” “you,” or “your”). They also govern use of our website.
How you accept these Terms
You accept these Terms when you submit a shipment or service request and then, after receiving HPPP approval, send or cause inventory to be sent to us, authorize us to begin work, pay an invoice, or otherwise use our services. You do not need to sign a separate agreement for ordinary services. Contacting us only to ask a general question does not by itself create a service relationship.
Shipment approval and service scope
Do not send inventory until HPPP has approved the shipment. Products, quantities, requested services, instructions, timing, rates, estimates, and other shipment-specific details may be confirmed through email, the client portal, an intake form, a quote, an invoice, or another written communication. Those details become part of these Terms for that shipment. HPPP may require a separate written scope only for custom, high-volume, unusual, or higher-risk work.
Services
Depending on the approved scope, HPPP may receive inbound packages, photograph and log packages, reconcile visible products and quantities, perform requested condition checks, apply labels, complete standard preparation, use protective materials, pack inventory, stage inventory, provide outbound box dimensions and weight, apply Client-supplied shipping documents, and release shipments to a carrier. HPPP may rely on information and instructions supplied by Client.
Client responsibilities
Client will provide accurate and timely product information, quantities, tracking numbers, marketplace files, labels, shipment plans, carrier documents, and final instructions. Client is responsible for product authenticity, lawful ownership, listing eligibility, intellectual-property compliance, marketplace compliance, tax obligations, and the accuracy of all labels and instructions supplied to HPPP. Client will identify any unusual handling, safety, regulatory, or storage requirements before inventory is shipped to HPPP.
Receiving and inspection
HPPP will use commercially reasonable care when receiving and handling inventory. Unless the accepted scope states otherwise, receiving includes documenting inbound package labels and visible exterior condition, opening shipping boxes, reconciling visible products and quantities, and reporting material visible damage or discrepancies when practical. Standard receiving is not a forensic inspection, authenticity review, functionality test, or inspection of concealed conditions inside sealed retail or manufacturer packaging.
Fees, invoices, and payment
Client will pay the rates and charges stated in the approved shipment scope, accepted quote or work order, current fee schedule, invoice, or other written communication. Charges may include receiving, per-unit preparation, optional inspection, materials, replacement boxes, storage, returns, disposal, special handling, carrier costs, and approved extra work. Estimates are based on submitted information; the final invoice may reflect actual units, boxes, materials, storage, and services used. Unless HPPP states otherwise in writing, payment is due in full before inventory is released or shipped outbound, and HPPP may hold inventory until cleared payment is received.
Storage and delayed instructions
Any included staging period and any storage rate will be stated in the approved shipment scope or current fee schedule. Storage charges may continue while HPPP waits for Client instructions, files, labels, payment, carrier arrangements, or other required information. HPPP may move inventory within its facility as reasonably needed for safe and efficient operations.
Turnaround and delays
Unless HPPP states otherwise in writing, our target turnaround is 72 hours after all inventory, labels, files, payment when required, and final instructions needed for active work have been received. The target is an operational goal, not a guaranteed completion time. Time spent waiting for Client information, marketplace action, carrier movement, supply availability, safety review, or events outside HPPP’s reasonable control is excluded.
Restricted and regulated products
Client will not send hazardous, illegal, counterfeit, recalled, temperature-controlled, perishable, aerosol, flammable, regulated, or otherwise restricted products without HPPP’s advance written approval. HPPP may refuse, isolate, return, or pause inventory that creates a safety, legal, insurance, carrier, facility, or marketplace concern. Client is responsible for resulting costs unless the concern was caused solely by HPPP.
Ownership, risk, and insurance
Client retains ownership of its inventory. HPPP maintains business insurance appropriate to its operations; that insurance does not replace Client’s responsibility to insure its products and shipments and does not expand HPPP’s obligations under these Terms. Risk of loss while inventory is in transit remains with Client or the applicable carrier. Client is responsible for obtaining any cargo, inventory, product, or other coverage it considers necessary.
Responsibility for loss or damage
HPPP is responsible for direct physical loss of or damage to inventory only to the extent proven to result from HPPP’s negligent handling while the inventory is in HPPP’s possession. HPPP’s responsibility is limited to the documented actual acquisition cost of the specifically affected inventory. HPPP is not responsible for carrier or marketplace loss or delay, concealed or pre-existing damage, product defects, inaccurate Client information, marketplace restrictions, lost profits, lost sales, account impacts, or indirect, incidental, special, punitive, or consequential damages.
Independent prep service
We are an independent prep service. We are not affiliated with, endorsed by, or partnered with Amazon.com, Inc. References to Amazon, FBA, FNSKU, and related terms are descriptive of the services we perform on behalf of sellers and do not imply any agency or endorsement.
Marketplace and carrier decisions
HPPP does not guarantee listing approval, shipment acceptance, receiving speed, reimbursement eligibility, account health, carrier performance, sales, or any other marketplace or business result. We do not require, request, or accept Amazon Seller Central passwords. Clients may provide shipment plans, FNSKU labels, box labels, packing lists, and prep instructions directly or use approved Seller Central User Permissions where available.
Suspension and termination
Either party may end the service relationship by written notice. HPPP may immediately suspend work for nonpayment, unsafe inventory, unlawful activity, abusive conduct, insurance or facility concerns, or materially inaccurate or incomplete instructions. Client remains responsible for charges and costs incurred through termination and must promptly provide lawful instructions for remaining inventory. If Client does not respond within 30 days after written notice, HPPP may continue charging storage and take lawful steps to return or otherwise address the inventory at Client’s expense.
Confidentiality and business information
Each party will use reasonable care to protect nonpublic business information received from the other and will use it only as needed to perform or receive the services. This obligation does not apply to information that is public through no breach, already lawfully known, independently developed, received lawfully from another source, or required to be disclosed by law.
Website use
You agree to use this website only for lawful purposes and not in a manner that infringes the rights of others or restricts or inhibits anyone else’s use of the site. You may not attempt to gain unauthorized access to any part of the site or any system on which the site is hosted.
Intellectual property
The content and design of this site, including text, graphics, logos, and the High Plains Prep & Pack mark, are the property of High Plains Prep & Pack or used under license. You may not copy or reuse content without prior written permission.
No warranty
The website is provided “as is” without warranties of any kind. We make commercially reasonable efforts to keep the site accurate and available, but we do not warrant that the site will be uninterrupted, error-free, or that any information on it is current at all times.
Limitation of liability
To the maximum extent permitted by law, HPPP is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of this website. Responsibility for prep services is governed by the service provisions in these Terms and the approved shipment scope.
Governing law
These Terms are governed by the laws of the State of Montana, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or your use of this website shall be resolved exclusively in the state or federal courts located in Cascade County, Montana.
Changes to these Terms
HPPP may update these Terms by posting a revised version on this page and changing the last-updated date. Revised Terms apply to service requests and shipments submitted after the new date. If a change materially affects active work, HPPP will provide reasonable notice before applying it to that work.
General terms
Client and HPPP are independent contractors, and neither may bind the other. HPPP may use employees and contractors while remaining responsible for its performance. Neither party is responsible for delay caused by events beyond its reasonable control. Notices may be sent to the receiving party’s most recent email or mailing address.
These Terms and the approved shipment scope form the parties’ agreement. The scope controls shipment-specific services and pricing; these Terms control general terms unless HPPP and Client expressly change a named section in writing. They replace prior discussions about the same subject. If any provision is unenforceable, the others remain effective. A waiver once is not a continuing waiver.
